Xpro Networks – Terms and Conditions
Effective Date: 1/1/2025
Welcome to Xpro Networks. These Terms and Conditions (“Terms”) govern the use of our managed IT and other technology services. By engaging our services, you agree to these Terms.
- Services
Xpro Networks provides managed IT services, including but not limited to network monitoring, cybersecurity, data backup, IT support, data center, equipment sales, VoIP, consulting services, etc. Specific services will be outlined in your Service Agreement or Work Order.
- Client Responsibilities
Clients agree to:
- Provide access to relevant systems and staff.
- Maintain valid software licenses.
- Notify Xpro Networks promptly of any issues or system changes.
- Follow all security guidelines provided.
- Fees and Payment
- Fees are outlined in your Service Agreement.
- Invoices are due immediately upon completion of work or as otherwise stipulated in service agreement. Purchases of equipment and supplies require a non-refundable deposit.
- Late payments are subject to a 1.5% monthly interest charge. Accounts sent to collections will be responsible for any accrued collections and legal charges.
- Service Levels and Support
- Xpro Networks will provide service according to SLAs (Service Level Agreements) when mutually agreed upon and stipulated in clients Service Agreement.
- Support is available during Xpro Networks published business hours or as mutually agreed upon in client’s Service Agreement.
- Emergency support outside regular hours and when available will incur additional fees.
- Data and Security
- We take all reasonable steps to protect client data.
- Clients retain ownership of their data.
- Xpro Networks is not liable for data loss due to circumstances beyond our control (for example, but not limited to hardware or software failure, internet service interruptions, client employee actions, natural disasters, etc).
- Confidentiality
Both parties agree to maintain the confidentiality of sensitive information and not disclose it to third parties without written consent. See Xpro Networks Privacy Policy.
- Term and Termination
- Our services may be terminated by either party with written notice and within terms as agreed in Client Service Agreement. Notwithstanding the foregoing Client is responsible for 3rd party portion of service for the period of said vendors or partners current term of service and dates of service expiration are available upon request.
- Immediate termination may occur for breach of terms or non-payment as determined by and at the sole discretion of Xpro Networks LLC.
- Limitation of Liability
Xpro Networks is not liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid by the client in the past 3 months, excluding amount paid for equipment purchased and software licensing and subscriptions.
- Changes to Terms
We may update these Terms periodically. Clients will be notified of any significant changes.
- Governing Law
These Terms are governed by the laws of the state of Utah.
